Covrly is a document research and analysis tool. The Service provides summaries and information extracted from HOA documents you upload. Nothing provided by Covrly constitutes legal advice, legal opinions, or legal representation. Always consult a licensed real estate attorney for advice specific to your legal situation.
1. Agreement to Terms
By accessing and using Covrly ("the Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Covrly.
2. Service Description
Covrly is a B2B Software-as-a-Service (SaaS) platform that analyzes Homeowners Association (HOA) documents using artificial intelligence. The Service allows teams to upload HOA documents, extract rules, identify risk levels, ask questions about document content, generate quarterly compliance digest reports, and invite team members or clients to a shared workspace.
Covrly is designed for property managers, real estate agencies, and similar professionals. The Service includes white-label branding features allowing organizations to present Covrly-powered analysis under their own brand identity.
Covrly is a document research tool only. It does not provide legal advice, legal opinions, or legal representation of any kind. AI-generated summaries, rule extractions, risk assessments, and compliance reports are based solely on the text of uploaded documents and may contain errors or omissions. You should independently verify all information and consult a qualified attorney before making any legal or financial decisions.
3. Subscription Plans
Covrly offers three subscription tiers:
- •Starter ($199/month): 5 team seats, 50 documents/month, white-label branding, API access, email support
- •Growth ($499/month): 20 team seats, 200 documents/month, white-label branding, API access, priority email support, onboarding call
- •Scale ($999/month): Unlimited seats, unlimited documents, white-label branding, API access, dedicated Slack support, quarterly business review, custom onboarding
Plan features and pricing are subject to change with 30 days' notice to existing subscribers.
4. Payment Terms
Payment is processed through Paddle, our third-party payment processor. By subscribing to a paid plan, you authorize recurring monthly charges to your payment method. Subscriptions automatically renew each billing period unless cancelled before the renewal date. All fees are non-refundable except as required by law or as specified in our Refund Policy.
5. Cancellation & Data Retention
You may cancel your subscription at any time through your billing page. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then.
Data retention: Your account data (documents, rules, Q&A history) is retained for 90 days after account cancellation, then permanently deleted. You may request immediate deletion at any time by contacting support@covrly.com. Uploaded PDF files are automatically deleted from our servers immediately after text extraction is complete; only extracted text and analysis are retained.
6. User Content & Intellectual Property
You retain all rights to documents you upload. By uploading documents, you represent and warrant that you have the right to upload and process those documents (including any applicable copyright permissions), and you grant Covrly a limited, non-exclusive license to process and analyze them solely to provide the Service. We do not use your documents to train AI models.
The Service, including all software, designs, and features, is owned by Covrly and protected by intellectual property laws. Your use of the Service does not grant you any ownership rights.
7. Indemnification
You agree to indemnify, defend, and hold harmless Covrly and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- •Your use of the Service or violation of these Terms
- •Documents you upload, including any copyright infringement or unauthorized use
- •Any action you take or fail to take based on information provided by the Service
- •Your violation of any applicable law or third-party rights
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Covrly does not warrant that: (a) AI-generated analysis is accurate, complete, or error-free; (b) the Service will be uninterrupted or secure; (c) any information provided constitutes legal advice; or (d) results from using the Service are suitable for any particular purpose. AI analysis may miss rules, misinterpret text, or produce incorrect risk assessments. Always read the original document and consult an attorney before relying on any analysis.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COVRLY'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO COVRLY IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $50 USD.
IN NO EVENT SHALL COVRLY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES DAMAGES ARISING FROM: RELIANCE ON AI-GENERATED ANALYSIS; HOA FINES OR PENALTIES INCURRED AFTER USING THE SERVICE; OR INACCURACIES IN DOCUMENT INTERPRETATION.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you.
10. Dispute Resolution & Arbitration
Informal Resolution First: Before initiating any formal dispute, you agree to contact us at support@covrly.com and attempt to resolve the dispute informally for at least 30 days.
Binding Arbitration: If informal resolution fails, any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), rather than in court. You waive any right to a jury trial or to participate in a class action lawsuit.
Exception: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent court proceedings are permitted under these Terms, you consent to exclusive jurisdiction in the state and federal courts located in Delaware.
12. Modifications
We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email to registered users. Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.
13. Termination
We reserve the right to suspend or terminate your account at any time for violation of these Terms, abuse of the Service, or any other reason at our discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 7 (Indemnification), 9 (Limitation of Liability), and 10 (Dispute Resolution) survive termination.
